These Terms of Service ("Terms") govern your access to and use of the website at universalagi.com, our online forms, demo and evaluation environments, and any related services offered by UniversalAGI, Inc. ("UniversalAGI," "we," "us," or "our") (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

UniversalAGI provides physics-informed AI software for engineering simulation, analysis, and related workflows. The specific features, models, and capabilities available to you depend on your account type, evaluation status, and any separate agreement between you and UniversalAGI.

We may modify, suspend, or discontinue any part of the Services at any time. We will use reasonable efforts to provide advance notice of material changes that affect paid subscriptions, subject to security, legal, or operational constraints.

To use certain Services, you must create an account or receive an invitation. You agree to:

• Provide accurate, current, and complete registration information;
• Maintain the security of your credentials and notify us promptly of any unauthorized access;
• Accept responsibility for all activity that occurs under your account; and
• Use the Services only if you are at least 18 years old and legally able to enter into a binding contract.

You may not use the Services to:

• Violate applicable law, export controls, or third-party rights;
• Upload malware, probe or scan systems without authorization, or interfere with Service integrity or performance;
• Reverse engineer, decompile, or attempt to extract source code or model weights except as expressly permitted;
• Use automated means to scrape, harvest, or overload the Services without our written consent; or
• Misrepresent your identity, affiliation, or the origin of any data you submit.

We may investigate suspected violations and suspend or terminate access where we reasonably believe continued use poses risk to the Services, other users, or UniversalAGI.

If you participate in a demo, trial, pilot, or evaluation, additional terms in a separate evaluation or commercial agreement may apply to inputs, outputs, data handling, and permitted use cases.

Evaluation access is provided "as is," may be rate-limited or feature-restricted, and may be withdrawn at any time. Outputs from evaluation environments are not warranted for production decisions unless covered by a paid agreement.

a. UniversalAGI Property

The Services, including software, models, documentation, branding, and all related intellectual property, are owned by UniversalAGI or its licensors and are protected by applicable law. Except for the limited rights expressly granted in these Terms or a separate agreement, no license is granted to you.

b. Your Content

You retain ownership of data, files, configurations, and other materials you submit to the Services ("Customer Content"). You grant UniversalAGI a limited license to host, process, and display Customer Content solely to provide and improve the Services, subject to any stricter terms in your commercial agreement.

c. Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant UniversalAGI a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation.

Each party may receive non-public information from the other. The receiving party will use the same degree of care it uses to protect its own confidential information, and at least reasonable care, and will not disclose it except to personnel or contractors with a need to know and bound by confidentiality obligations.

Confidentiality obligations do not apply to information that is publicly available without breach, independently developed, or rightfully received from a third party without restriction.

Fees for paid Services are described in an order form, statement of work, or other commercial agreement. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and due according to the payment schedule in your agreement.

We may suspend access for overdue amounts after reasonable notice. Renewal terms, invoicing schedules, and usage-based adjustments are specified in your order form or commercial agreement.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIVERSALAGI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Simulation outputs and AI-generated results are aids to engineering judgment. You are responsible for validating results before relying on them in safety-critical, regulatory, or production contexts.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIVERSALAGI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.

UNIVERSALAGI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO UNIVERSALAGI FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You will defend, indemnify, and hold harmless UniversalAGI and its officers, directors, employees, and agents from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising from your Customer Content, your use of the Services in violation of these Terms, or your violation of applicable law or third-party rights.

You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if continued provision poses security or operational risk.

Upon termination, your right to access the Services ends. Sections that by their nature should survive (including intellectual property, confidentiality, disclaimers, limitation of liability, and governing law) will survive.

These Terms are governed by the laws of the State of California, excluding its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in San Francisco County, California, and each party consents to personal jurisdiction in those courts.

We may update these Terms from time to time. When we do, we will post the revised version on this page and update the effective date. Material changes to paid Services will be communicated through your account or by email where practicable. Continued use after the effective date constitutes acceptance of the updated Terms.
